STUDIO USE AND SERVICES AGREEMENT

This Studio Use and Services Agreement (“Agreement”) is entered into by and between Omaha Recording Arts (“ORA”) and the undersigned client (“Client”) for the use of ORA’s recording studio facilities and related services. By booking a session or signing this Agreement, Client agrees to be bound by the terms and conditions set forth herein.

1. Booking and Payment Terms

1.1 Deposit Requirement.
Client shall pay a non-refundable deposit equal to fifty percent (50%) of the total session fee at the time of booking to secure the reserved studio time.

1.2 Final Payment.
The remaining balance of the session fee shall be paid in full on the day of the scheduled session. No exceptions shall be made to this requirement.

1.3 Special Packages.
Certain special packages or promotional offers may require full payment at the time of booking, as determined by the Studio Manager.

1.4 Time Allocation.
All studio time officially reserved on ORA’s calendar must be used within the scheduled period. In the event of technical difficulties, ORA management shall determine, in its sole discretion, whether to reschedule the session or provide credit for unused hours.

1.5 Master Ownership.
Upon full payment of the session fee, ownership of the master recordings shall belong to the Client listed as the payee on the invoice, unless prior royalty negations were set forth.

1.6 Training Courses.
For training courses, a fifty percent (50%) deposit is required at the time of booking, with the balance due on the day of the course or through a payment plan arranged with the lead manager. Payment plans must be completed within twelve (12) months of the initial payment.

1.7 Refunds.
All payments, including deposits, are final and non-refundable.

2. Rescheduling

2.1 Advance Notice.
Client may request to reschedule a session by providing at least twenty-four (24) hours’ notice prior to the scheduled session.

2.2 Late Notice.
If notice is provided less than twenty-four (24) hours in advance, the initial deposit shall be forfeited.

2.3 Unused Funds.
Any funds paid beyond the initial deposit that are not used may be applied toward future studio sessions or bookings, at ORA’s discretion.

3. Cancellation

3.1 Notification.
Client must notify ORA management immediately in the event of a complete cancellation of the session.

3.2 Deposit Forfeiture.
Upon cancellation, the initial deposit shall be forfeited and will not be refunded under any circumstances.

4. Tardiness

4.1 Session Adjustment.
If Client arrives late, the session may be shortened to accommodate subsequent bookings.

4.2 Engineer Discretion.
ORA’s engineer shall determine, in their sole discretion, whether there is sufficient time remaining to commence the session.

4.3 Full Payment Responsibility.
Client shall be responsible for payment of the full session fee, regardless of the actual time used.

4.4 Punctuality.
Client is expected to plan accordingly and arrive on time out of respect for ORA’s staff and other clients.

5. Session Preparation

5.1 Digital Audio Workstation.
ORA uses Pro Tools HD as its primary digital audio workstation. Client must upload or bring stems before or on the day of the session if using a different workstation.

5.2 File Transfer.
Session files may be transferred using a thumb drive, hard drive, Dropbox, or WeTransfer, with files sent directly to the assigned audio engineer.

5.3 Location.
Client is encouraged to review ORA’s location in Omaha, NE, and plan to arrive 10 to 15 minutes early to account for possible delays.

6. During the Session

6.1 Editing and File Transfer.
All editing and file transfers shall occur within the scheduled session time.

6.2 File Delivery.
The engineer shall provide Client with an mp3 or wav file of the music at the end of the session.

6.3 Raw Session Files.
If Client wishes to receive raw session files (Pro Tools session), Client must bring a hard drive on the day of the session. Alternatively, the engineer may send files via Dropbox during the scheduled session time.

7. After the Session

7.1 Contact.
Client is encouraged to maintain contact with the engineer or producer for any necessary edits or revisions.

7.2 Future Bookings.
The engineer may not be available to assist with booking future sessions.

7.3 Session Files Post-Session.
If Client requests session files after the session has ended, a minimum charge of forty dollars ($40) shall apply for file transfer to a hard drive or via Dropbox. Files sent via Dropbox must be downloaded within fourteen (14) days.

7.4 Drive Clearing.
ORA’s studio drives shall be cleared every six (6) months. Client is responsible for obtaining session files promptly to avoid loss.

7.5 Customer Service.
ORA may contact Client for feedback and testimonials following the session.

8. Edits and Revisions

8.1 Session Recall.
Recalling a session and setting up equipment may take up to thirty (30) minutes.

8.2 Minimum Charge.
A minimum charge of fifty dollars ($50) shall apply for edits or mix revisions. Normal hourly rates shall apply for work exceeding thirty (30) minutes.

8.3 Mix Packages.
This policy does not apply to mix packages or bundles, which shall have their own terms as specified at the time of booking.

9. General Policies and Regulations

9.1 Smoking.
Smoking is strictly prohibited inside the studio. Designated smoking areas are available outside the building.

9.2 Illegal Substances and Weapons.
The use of illegal substances and weapons is strictly prohibited on ORA premises.

9.3 Guns and Firearms.
The possession, use, or bringing of any guns, firearms, or any ammunition is strictly prohibited on the premises or in connection with any activity governed by ORA. All other weapons are also prohibited.

9.4 Right to Refuse Service.
ORA reserves the right to deny entry or refuse service without refund, liability, or compensation if circumstances warrant.

9.5 Policy Changes.
ORA’s policies and regulations are subject to change without notice.

9.6 Logo Use.
Use of ORA’s logo on any promotional material is prohibited without official written permission from management.

10. Band and Barred Policy for Violations

10.1 Violations.
Any violation of studio rules, including but not limited to vandalism, causing a neighborhood disturbance, or disrespectful behavior toward staff or other clients, shall result in immediate removal from the premises.

10.2 Barred Status.
Clients or groups found in violation may be permanently barred from future use of ORA facilities.

10.3 Legal Action.
ORA reserves the right to pursue legal action for damages, theft, or other unlawful activities.

10.4 Security Deposit.
For certain bookings, a security deposit may be required and shall be forfeited in the event of a violation.

10.5 Neighborhood Relations.
Client is expected to maintain reasonable noise levels and respect the surrounding community. Excessive noise or complaints from neighbors may result in termination of the session without refund.

11. Additional Policies from Leading Studios

11.1 Guest Policy.
Only clients and pre-approved guests are permitted in the studio. Unauthorized persons shall be asked to leave.

11.2 Food and Beverages.
Food and beverages are allowed only in designated areas. No food or drinks shall be permitted near equipment.

11.3 Equipment Handling.
Only studio engineers are permitted to handle studio equipment unless prior approval is granted.

11.4 Cleanliness.
Client is responsible for cleaning up after themselves. A cleaning fee may be charged if the studio is left in disarray.

11.5 Privacy.
All sessions are private. Recording or photographing sessions without permission is prohibited.

11.6 Session Confidentiality.
All session details and content are confidential unless otherwise agreed in writing.

11.7 Equipment Damage.
Client is responsible for any damage caused to studio equipment during their session.

11.8 Insurance.
Client is encouraged to insure their personal property. ORA is not responsible for loss or damage to client belongings.

12. General Provisions

12.1 Compliance.
By booking a session at ORA, Client agrees to comply with all terms, conditions, and policies outlined in this Agreement.

12.2 Updates.
ORA reserves the right to update these policies at any time. Client shall be notified of significant changes.

12.3 Questions.
If Client has any questions or needs clarification, Client shall contact ORA Management before the session.
